This End-User License Agreement (EULA) is a binding legal agreement between you (the user) and ClipDown. Downloading and using any of our software products provided with this EULA, you accept these terms. You agree to be bound by these terms of this EULA anytime you install, copy or use ClipDown software products.

Please read this EULA agreement carefully before installing or using ClipDown software products. It will provide you with a license needed to use the software as well as additional information including liability disclaimers and warranty information.

License Grant

For every software product you purchase, ClipDown provides you with a personal, non-transferrable and non-exclusive license to use the program on your device in accordance with the terms of this EULA.

You can install the software on a device like a PC or laptop that you fully control and you are responsible to make sure that your device meets the minimum system requirements to install the software.

You are not permitted to;

• Change, edit, modify, translate or make any alternations to the software you install in whole or in part nor combine the whole or any part of the software with any other software, nor decompile, disassemble or reverse engineer the software for your own purposes.
• Resell, copy, reproduce, distribute or use the software for commercial purposes.
• Allow a third-party individual or company to use the software for their own purposes.
• Use the software in ways that may contradict local, national and international laws.
• Use the software in any way that contradicts this EULA agreement.

Intellectual Property and Ownership

ClipDown will retain the ownership of the software as originally downloaded by you and all subsequent downloads at all times. The software shall remain the intellectual property of ClipDown and we reserve the right to grant licenses of use the software to any third-parties.

Content Copyright and Ownership

By using our software product, you agree that ClipDown will not be liable for any loss or damages that may result from the illegal use of images, videos or music files that you have downloaded. It is your responsibility to ensure that you have the right to use any downloaded content. We claim no intellectual property rights over any of the content you download.

By installing and activating ClipDown software, you also agree that you will not download any copyrighted content without permission from the content creators. You also agree that you will only use all the downloaded content for personal use and you will not reproduce or redistribute the downloaded content without the content creator’s consent.

No Other Warranties

The software doesn’t come with any warranty of any kind. ClipDown disclaims all other warranties with respect to the software, either express or implied, including but not limited to implied warranties of merchant alibility, fitness for a particular purpose and non infringement of third-party rights. Exclusion of implied warranty rights or limitations may not be allowed in certain jurisdiction, so the above exclusion or limitations may not apply to all users. This warranty allows you specific legal rights that you may have with respect to using this product, and other rights that may vary from one jurisdiction to another.

Termination

This EULA agreement and all provisions in it come into effect on the day you purchase and install the software and continue until terminated. You may choose to terminate the agreement at any time with prior written notice to ClipDown.

This agreement shall also be automatically and immediately terminated if you fail to comply with the terms outlined in this EULA. Upon such termination, you agree to stop accessing and using the software related to this EULA.
